Common seal: -
It is an official signature of a company. A company
has no physical existence. It acts
through the agent and must under the seal of the company. Affixing the company
seal is a statutory requirement and its acts as evidence. When seal is used in
a document it ensures authenticity of attestation on behalf of the company.
Following are documents in which common seal is required:
1.
Power of attorney.
2.
Share certificate.
3.
Debentures.
4.
Share warrant.
5.
Dead of lease.
6.
Any deed as required by articles.
Resolution of board is required for affixing common seal of
the company on deeds and contracts. Common seal is affected only in presence of
two directors and company secretary or such other person as the board may
appoint for the purpose in accordance with articles of association.
